Setting the Stage: Deal Structures and Early Labor & Employment Considerations

Inside the Deal: A Six Part Series on Labor & Employment Issues in M&A

Tuesday, March 10, 2026

  • 9:00 AM - 10:00 AM PDT

Part One of this series provides an overview of the foundational labor and employment considerations that arise at the outset of a merger or acquisition. This session will address the key documents L&E counsel should review early in the process and the differences in approach between private, negotiated transactions and auction style deals. The program will also analyze how the structure of a transaction, the industry involved, and the nature of the acquisition inform the scope of labor and employment review.

Faculty will outline preliminary steps that help position the transaction for success and will provide a high-level summary of counsel's role throughout the deal lifecycle. Illustrative examples and practical insights - including brief war stories - will be incorporated to highlight common pitfalls and best practices.

This program kicks off a six-part webinar series, followed by additional sessions focused on due diligence, employee benefits, collective bargaining, international M&A, and post-closing workforce integration.
