Part three of this series will address the critical employee benefits and executive compensation issues that arise in corporate transactions. The session will examine how the deal structure affects benefit obligations for both buyers and sellers, including the treatment of qualified and nonqualified plans, equity compensation, and multiemployer plan exposure.
The program will provide a practical framework for conducting benefits and executive compensation due diligence. Panelists will also address key benefit-related provisions in transaction documents and strategies for mitigating potential benefit plan liabilities, including approaches to correcting plan defects and allocating risk between the parties.
Finally, the session will explore post-closing integration and compliance strategies. Through illustrative examples and practical insights, attendees will gain a deeper understanding of how to effectively manage benefits-related issues throughout the deal lifecycle.
This third program will be followed by additional sessions on collective bargaining, international M&A, and post-closing workforce integration.
