SOX and the Federal Sentencing Guidelines Require That Managers Be Trained on Workplace Ethics to avoid criminal and civil liability for the both the company and individual.

Simply providing an executive or high-level manager with an ethics policy or code of conduct is not enough; a formal and effective training program is now required.
