During fiscal year 2012, the SEC received 3,001 tips, complaints, and referrals from whistleblowers across the country and abroad, from which there were 143 enforcement judgments and orders issued that potentially qualify as eligible for a whistleblower award. The best arsenal the SEC has is its whistleblowers.

  • Does your board understand what allegations should trigger an internal investigation, the potential consequences, and when you should bring in a third party?
  • What should your board be doing to ensure your company has a robust whistleblower response process, and how can boards help mitigate retaliation risks?
  • What can the board do to make sure organizational culture promotes ethical decision-making?

This breakout will help answer these questions and review appropriate policies, procedures, training and educational resources that companies can utilize to prevent and detect criminal and fraudulent conduct as part of a larger compliance program.
