Following a very active 2014, private equity funds are continuing to evaluate strategic acquisitions as well as for opportunities to take enterprises groomed for growth back to the public markets. Our distinguished panel, comprised of members of two national private equity companies, a general counsel of a company recently completing an IPO and Littler attorneys will discuss the significance of labor and employment legal issues on these investment decisions.
The panel will focus on three areas:

Acquisitions & Divestitures – efficient labor and employment law due diligence; providing legal support to fit the needs and timing of the transaction; labor and employment issues unique to asset and stock deals; strategies to deal with existing employment risks and the presence of organized labor, and possible need to re-calibrate the labor situation, holdbacks, or valuations; and labor and employment considerations in potential reorganization of targeted entities.

Operations – labor and employment issues incident to integration of acquired entities; employment agreements and bonus arrangements with management of acquired entities; on-going labor and employment law compliance to make a business more attractive when time to sell; frequent source of claims and litigation; and dealing with WARN, terminations, consolidations, and severance.

Fund Governance – the Fund itself as an employer; the consideration of control group issues; and frequently recurring labor and employment law concerns.
