Whether during an economic downturn, grass shoot-early economic recovery or economic boom times, businesses are bought and sold, and part of business operations are outsourced. The process of buying and selling a business involves several stages starting with identifying the correct target business, due diligence prior to closing of the deal, closing of the deal, integrating the acquired business, and potentially rightsizing the combined business. Each of the stages of the acquisition process has several employment, labor and data privacy law implications. This webinar will address these employment, labor and data privacy law and human resource implications and provide attendees with practical tips how to deal with the potential complex workplace law and relations challenges such as:

  • Assessing the reputation of the potential target business or outsource service provider;
  • Due diligence – what to look for and how to get it
  • Understanding and assessing the employment and labor risks, including Brazil's Expatriate Law No.7,064
  • UK TUPE and other European transfers of undertaking laws: what is this?
  • Outsourcing and "second generation" outsourcing – understanding the employment implications
  • Integrating terms and conditions of employment
  • Rightsizing the combined organization – legal limitations
