Last year, a blue-ribbon panel recommended to Congress, the Administration, and the U.S. Federal Sentencing Commission that the guidelines which determine if an organization has an effective compliance and ethics program be strengthened. Known as the Federal Sentencing Guidelines for Organizations, these guidelines are used by regulators, prosecutors, and judges to determine if the organization and its executives are criminally liable for the misconduct of others within the organization.
Every organization in the U.S. should have an ethics and compliance program, not just publicly traded companies. Many of the functions that make up an effective compliance and ethics program are the responsibility of human resources and in-house counsel: conducting background checks, implementing incident management reporting systems, investigating reports of misconduct, determining appropriate discipline when misconduct occurs, training managers, protecting whistleblowers, etc.
For each critical element, we will elicit ideas from participants and discuss possible ways to implement those elements to develop a practical and effective compliance and ethics program.
